At the extraordinary shareholders’ meeting of Tellusgruppen AB (publ) on November 4, 2025, the following main resolutions were adopted.
The Annual General Meeting resolved, in accordance with the Board of Directors’ proposal, to pay a supplementary dividend of SEK 0.10 per share. The record date for entitlement to the dividend was set for November 6, 2025, with the estimated payment date being November 11, 2025.
The Board’s rationale for its proposal:
Tellusgruppen Since its listing in April 2021, the company has maintained and communicated a strategy of being a dividend-paying public company. The Group’s profitability has trended positively over the past year, and its financial stability has improved significantly. The dividend level proposed by the Board of Directors to the Annual General Meeting is based on maintaining a good balance between preserving financial strength—with room for continued investments and acquisitions—while ensuring that shareholders receive a portion of the company’s profits as dividends.
Tellusgruppen We want to attract investors who view holdings in the company’s shares as a long-term investment with sustainable returns, which also aligns with the interests of our employees and our custodian in a stable and sustainable business. The Board of Directors believes that high-quality operations go hand in hand with reasonable profitability for all types of companies, including those in our industry.

Minutes of the Annual General Meeting
June 18, 2025
At the Annual General Meeting of Tellusgruppen AB (publ) on June 18, 2025, the following main resolutions were adopted.
Resolution on the Income Statement and Balance Sheet
The Annual General Meeting approved the income statement and balance sheet for the parent company, as well as the consolidated income statement and balance sheet for 2024, and resolved that the company’s net income be carried forward.
Discharge from Liability
The members of the Board of Directors and the CEO were granted discharge from liability for the 2024 fiscal year.
Dividend The Annual General Meeting resolved, in accordance with the Board of Directors’ proposal, not to pay a dividend for the 2024 fiscal year.
Determination of the Number of Board Members
It was resolved that the number of board members shall be six (6).
Determination of Remuneration for the Board of Directors and the Auditor or Auditors
The Annual General Meeting resolved that a total remuneration of no more than 792,000 kronor (660,000) shall be paid to the Board of Directors elected by the Annual General Meeting. The Chairman of the Board shall receive SEK 252,000 (210,000), and the other Board members who are not employees of Tellusgruppen shall each receive SEK 108,000 (90,000); furthermore, fees to the auditor shall be paid in accordance with an approved invoice.
Election of Board Members and Auditor
The meeting resolved to re-elect the current board members: Thomas Gür as Chairman of the Board, as well as Elnaz Madani, Caj Perrin, Luca di Stefano, Hanna Myhrman, and Louise Furness.
The Annual General Meeting resolved to re-elect the auditing firm Grant Thornton Sweden AB as the Company’s auditor until the end of the next Annual General Meeting. Certified Public Accountant Carl Niring will serve as the lead auditor.
Resolution on Authorization
The Annual General Meeting resolved to authorize the Board of Directors to carry out cash issues, set-off issues, and non-cash issues, as well as to issue warrants and convertible debentures, with or without regard to shareholders’ preemptive rights and in accordance with the limitations on share capital set forth in the Articles of Association.

January 29, 2025
At the special shareholders’ meeting of Tellusgruppen AB (publ) on January 29, 2025, the following main resolutions were adopted.
The shareholders’ meeting elected Hanna Myhrman as an ordinary member of the Board of Directors of Tellusgruppen AB to replace Board member Narges Moshiri, who had announced her intention to resign from the Board. The shareholders’ meeting further resolved that Hanna Myhrman’s compensation shall be at the same level as that of the other ordinary members.
At the inaugural board meeting held that same day, Elnaz Madani was appointed vice chair of the board.
The Board of Directors of Tellusgruppen AB now consists of Thomas Gür, Chairman; Elnaz Madani, Vice Chairman; Malin Appelgren; Louise Furness; Hanna Myhrman; Caj Perrin; and Luca di Stefano.
