Subscription for shares based on Series TO2 warrants begins today

Today, May 13, 2024, marks the start of the exercise period for Series TO2 warrants in Tellusgruppen AB (publ) (“Tellusgruppen” or “the Company”). The exercise period runs through May 27, 2024. Each Series TO2 warrant entitles the holder to subscribe for one (1) new share in the Company at a price of SEK 6.0 per share. To prevent the warrants from expiring worthless, the holder must actively subscribe for shares no later than May 27, 2024, or sell the warrants no later than May 22, 2024. Please note that certain custodians may close the subscription period before May 27, 2024.

Summary terms and conditions for Series TO2 warrants:
Subscription period: May 13, 2024 – May 27, 2024

Issue volume: 1,427,594 Series TO2 warrants entitle the holder to subscribe for 1,427,594 shares. Upon full exercise, the Company will receive approximately SEK 8.6 million before issuance costs

Subscription price: SEK 6.0 per share

Last day of trading in Series TO warrants: May 22, 2024

Share capital and dilution: Upon full exercise, the share capital will increase by 71,151.30 SEK, from 731,572.85 SEK to 802,724.15 SEK. Upon full exercise, the number of shares will increase by 1,472,594 shares, from 14,678,424 shares to 16,106,018 shares. The dilution upon full exercise amounts to approximately 8.86 percent of the number of shares.

Please note that warrants not exercised by May 27, 2024, or sold by May 22, 2024, will expire worthless. To prevent the warrants from expiring, you must actively exercise them to subscribe for shares or sell the warrants.

How to exercise the warrants:

Custodian-registered warrants (custodial account):
Subscription and payment through the exercise of the warrants must be made in accordance with instructions from the respective custodian. Please contact your custodian for further information.

Directly registered warrants (VP account):
No issue statement or payment instructions will be sent out. Subscription must be made through simultaneous cash payment in accordance with the instructions on the subscription form. The warrants will then be replaced with interim shares pending registration with the Swedish Companies Registration Office.
