Tellusgruppen Tellusgruppen , AB (publ.) has today signed an acquisition agreement with NGS Group AB regarding the transfer of assets related to the staffing business , with the closing date set for January 1, 2025. The purchase price amounts to SEK 3.05 million and consists of newly issued shares in AB valued at SEK 2.8 million, SEK 0.25 million in cash, and a potential additional purchase price. Vikariepoolen
Tellusgruppen Vikariepoolen is being acquired for SEK 3.05 million, plus a potential additional purchase price. The base purchase price of SEK 3.05 million, in the form of newly issued shares in AB, is based on the average closing price of the shares over the thirty days prior to the date of the agreement. The share price will be 7.73 kronor, and the number of newly issued shares will total 362,225. The new share issue will thus result in a dilution of 2.2%. A smaller additional purchase price may also be paid in cash in early 2026. The terms of the additional purchase price are based on the average revenue from existing customer contracts in 2024–2025.
Tellusgruppen intends to organize the operations into a separate subsidiary and as part of the Education Services business area.
